BY ACCESSING OR USING OUR SITES AND OUR SERVICES, YOU HEREBY AGREE TO BE BOUND BY THE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IT IS THE RESPONSIBILITY OF YOU, THE USER, CLIENT, CUSTOMER, OR PROSPECTIVE CUSTOMER TO READ THE TERMS AND CONDITIONS BEFORE PROCEEDING TO USE THIS SITE.  THESE TERMS APPLY TO ALL VISITORS, USERS, CLIENTS, PARTNERS, AND OTHERS WHO ARE 18 YEARS AND OLDER. BY USING THE SERVICES, YOU WARRANT AND REPRESENT THAT YOU MEET THE REQUIRED ELIGIBILITY CRITERIA. IF YOU DO NOT MEET THIS REQUIREMENT, YOU MUST NOT ACCESS OR USE MEDGRA’s SERVICES.

ACCEPTANCE OF TERMS

The following Terms of Service Agreement (“TOS”) is a legally binding agreement that governs your relationship with MedGra and its affiliates in connection with your use of the MedGra website, including [https://medgra.com] (the “Site”), and all services offered through it (collectively, the “Services”).

By using MedGra’s Services, you agree that these Terms of Use, combined with your use of the Services, carry the same legal weight as a written and signed agreement. You also agree not to challenge the enforceability or validity of these Terms simply because they were delivered or agreed to electronically.

HEALTH AND INFORMATION DISCLAIMER

The MedGra site is for informational and educational purposes only. It does not provide professional medical advice, diagnosis, or treatment.

The content provided by MedGra may include information about public health, wellness, nonprofit initiatives, community engagement, research projects, or other topics related to health systems.   • Consulting and training services

Our site may include blogs, guides, project highlights, downloadable resources, community voices, and opportunities for professional collaboration.

All visitors to MedGra’s website are considered “users.” If you register, sign up for a service, or submit a request, you may be designated a “member.” MedGra reserves all rights to its content and services, including any mobile or third-party integrations.

REGISTRATION

To become a registered member of MedGra, you must be at least 18 years of age, as this is the legal requirement to enter into a binding agreement. During registration, MedGra may collect information such as your name, email, date of birth, gender, mailing address, profession, and interests. You may update this information anytime through your user profile. Once you sign in to MedGra, you are no longer anonymous to us.

  • Promptly update your profile to ensure it remains accurate and complete

Providing false or misleading information may result in suspension or termination of your account and denial of current or future use of MedGra services.

To protect minors, anyone under the age of 18 may only use MedGra through a “family” account created by a parent or legal guardian who is at least 18 years old. The creator of the family account affirms that they are granting permission for their child to access MedGra’s services and will monitor whether the content and features are appropriate for the child.

PRIVACY POLICY

MedGra prioritizes the safety and confidentiality of all user data. Member registration information and other personal data are protected under our Privacy Policy. By registering, you consent to the collection, use, and transfer of your information within the U.S. and other jurisdictions for storage, processing, and operational purposes by MedGra and its partners. MEMBER ACCOUNT, USERNAME, PASSWORD & SECURITY

You are solely responsible for maintaining the confidentiality of your MedGra account credentials. Any activity that occurs under your account is your responsibility. If you detect unauthorized use or security breaches, notify MedGra immediately. MedGra is not liable for any loss or damage resulting from your failure to maintain the security of your account.

CONDUCT

You are solely responsible for any content you post, upload, transmit, or share through MedGra. You agree not to use MedGra’s platform for activities that are unlawful, abusive, fraudulent, or otherwise harmful. Prohibited behavior includes (but is not limited to):

  • Posting content that is illegal, threatening, harassing, defamatory, obscene, hateful, or discriminatory
  • Harming or attempting to exploit minors
  • Impersonating others or misrepresenting affiliations
  • Uploading content, you do not have rights to share
  • Infringing on intellectual property rights
  • Spamming or distributing unsolicited promotions
  • Transmitting viruses or malicious software
  • Disrupting services or interfering with platform functionality
  • Violating local, national, or international laws
  • Supporting terrorist organizations
  • Stalking or harassing individuals
  • Collecting personal data of other users in connection with any of the above

MedGra reserves the right to monitor, pre-screen, remove, or block any content that violates our Terms of Use or is offensive to our users. MedGra may also disclose account information when required by law or in good faith belief that such action is necessary for:

  2. Enforcement of these Terms
  3. Responding to rights violation claims

  1. You are not listed on any government export exclusion lists nor affiliated with any country under export embargo.

  4. You will not upload or share data that violates any applicable export or import regulation.

GEOGRAPHIC LOCATION AND ACCESS RESTRICTIONS

MedGra is headquartered in Phoenix, Arizona, USA. While we welcome global users, we make no guarantees that content on our website is legal or appropriate outside the United States. Accessing MedGra from another country is done at your own risk, and you are solely responsible for complying with your local laws.

USER-GENERATED CONTENT AND LICENSE TO MEDGRA

MedGra does not claim ownership of content you submit to or share in our publicly accessible areas. However, by doing so, you grant MedGra a non-exclusive, royalty-free, worldwide license to use, reproduce, adapt, distribute, publicly display, and perform the content to promote the specific area where the content was shared. This includes:

  • Images, audio, and video files uploaded for public viewing
  • Any other user-contributed material made available in public areas of our website

These licenses remain in effect for as long as your account is active and terminate once your membership ends, unless otherwise stipulated by applicable laws or specific agreements.

You agree to indemnify and hold harmless MedGra, its affiliates, partners, agents, officers, and employees from any claim or demand (including reasonable attorney fees) made by any third party arising from your content submission, use of our services, violation of these Terms, or infringement on the rights of others.

LIMITATIONS ON COMMERCIAL USE

MedGra’s content and services are for personal, non-commercial use only. You may not replicate, sell, distribute, or otherwise exploit any part of our services without prior written permission from MedGra.

DATA STORAGE AND ACCOUNT USE POLICIES

MedGra may set and enforce limits regarding your use of services, including:

TERMINATION OF USER ACCOUNT

You may cancel your MedGra account and associated services at any time by submitting a request to support@medgra.com.

MedGra reserves the right, without notice, to immediately suspend, limit, or terminate your account, including associated email addresses and access to services, for reasons including but not limited to:

  • Violation of our Terms of Use or other policies.
  • Legal requests or actions from law enforcement agencies.
  • Service modifications or discontinuation.
  • Technical or security issues.
  • Prolonged account inactivity.
  • Fraudulent, illegal, or abusive activity.
  • Nonpayment of associated fees.

Termination may involve: (a) Revoking access to some or all of MedGra’s services; (b) Deleting your password and all associated data, files, or content; (c) Barring further use of MedGra services.

You acknowledge and agree that MedGra shall not be liable to you or any third party for any termination or limitation of access.

NOTICE ON DEALINGS WITH ADVERTISERS

Any transactions, communications, or participation in promotions with advertisers through MedGra’s services are strictly between you and the advertiser. MedGra assumes no responsibility or liability for any loss or damage arising from such interactions or the presence of such advertisers on our site.

    1. The services or software will meet your expectations or needs.
    1. The services will be uninterrupted, secure, or error-free.
    1. The results obtained from using the services will be accurate or reliable.
    1. The quality of any services, information, or materials obtained through MedGra will meet your expectations; or
    1. Any errors in the software will be corrected.
  3. Any information or materials downloaded through MedGra are accessed at your own risk. You are solely responsible for any damage to your devices or data loss resulting from such downloads.
  4. No oral or written advice obtained from MedGra or through our services shall create any warranty not expressly stated in these Terms.
  5. A small percentage of users may experience seizures when exposed to flashing lights or screen patterns. If you or anyone in your family has a history of epilepsy or seizures, consult a physician before using the site. Discontinue use immediately if you experience symptoms like dizziness, disorientation, vision changes, or involuntary movements.

LIMITATION OF LIABILITY

You explicitly understand and agree that MedGra and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages. This includes but is not limited to damages for loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damage. Such damage may arise from:

(a) Your use or inability to use our services;
(b) The cost of obtaining substitute goods or services;
(c) Unauthorized access to or alteration of your data;
(d) Statements or conduct of third parties using our service; or
(e) Any other issue related to your use of MedGra.

RELEASE

In the event of any dispute, you agree to release MedGra (including its officers, directors, employees, agents, parent entities, affiliates, co-branders, partners, and any associated third parties) from any claims, demands, and damages (whether actual or consequential), of every kind and nature—known or unknown, suspected or unsuspected, disclosed or undisclosed—that arise from or are in any way connected to such a dispute.

SPECIAL NOTICE RELATED TO FINANCIAL AND ORGANIZATIONAL INFORMATION

If you engage with any services, content, messages, alerts, or updates from MedGra concerning nonprofit operations, grants, partnerships, or financial matters (including but not limited to funding opportunities, budgeting tips, or resource allocations), please revisit the Warranties Disclaimer and Limitations of Liability sections.

Such content is for informational purposes only and is not to be construed as professional, financial, or legal advice. The principle of “do your due diligence” applies—MedGra does not make any guarantees regarding outcomes based on information provided. MedGra and its licensors are not liable for any actions taken (or not taken) based on the use of this information.

EXCLUSIONS AND LIMITATIONS

Some jurisdictions may not allow the exclusion of certain implied warranties or limitations on liability for incidental or consequential damages. As such, some of the limitations outlined in the Warranties Disclaimer and Limitations of Liability sections may not apply to you.

THIRD-PARTY BENEFICIARIES

MedGra may deliver notices related to these Terms of Service by reasonable means, including email, SMS, text, physical mail, or postings on the MedGra website. If you access our services in a manner that violates these Terms, you may not receive these notices. However, by agreeing to these Terms, you acknowledge that any such notices shall be deemed accepted if you have accessed our services through authorized channels.

TRADEMARK INFORMATION

You acknowledge that all trademarks, service marks, trade names, logos, brand elements, or other proprietary identifiers used on the MedGra site or in connection with its services are the intellectual property of MedGra unless otherwise stated. You agree not to use or reproduce any MedGra branding or visual assets without express written permission. MedGra disclaims any proprietary interest in trademarks or logos not owned by the organization.

COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS NOTICE & PROCEDURES

MedGra respects the intellectual property rights of others and expects users to do the same. Under appropriate circumstances and at its sole discretion, MedGra may suspend or terminate access for users who infringe on others’ intellectual property rights.

If you believe your copyrighted work or intellectual property has been used in a way that constitutes infringement, please provide the following to support@medgra.com:

  • A physical or electronic signature of the person authorized to act on behalf of the copyright or intellectual property owner.
  • A description of the copyrighted work or intellectual property in question.
  • The URL or location on the MedGra website where the alleged infringement is occurring.
  • Your contact information (name, address, phone number, and email);
  • A good faith statement that the disputed use is unauthorized.
  • A statement under penalty of perjury that the information provided is accurate and that you are the rightful owner or are authorized to act on the owner’s behalf.

CLOSED CAPTIONING

GENERAL INFORMATION

ENTIRE AGREEMENT AND SURVIVAL OF TERMS

These Terms of Service (“TOS”) constitute the entire agreement between you and MedGra and govern your use of our Services, superseding any prior versions of these Terms. Additional terms may apply when you use or purchase certain MedGra programs, affiliate services, third-party content, or licensed software.

All provisions of this TOS will survive the expiration or termination of this agreement for any reason.

CHOICE OF LAW AND FORUM

By mutual agreement, you and MedGra agree that the laws of the State of Arizona, excluding its conflict of law rules, shall govern this TOS and your relationship with MedGra. Any disputes arising from this agreement shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to personal jurisdiction and waive any objections related to venue or jurisdiction in those courts.

NO WAIVER AND SEVERABILITY OF TERMS

If MedGra fails to exercise or enforce any rights or provision of the TOS, it shall not constitute a waiver of such right or provision. If any part of the TOS is found to be invalid by a court of competent jurisdiction, the parties agree that the court should endeavor to give effect to the intent of the provision, and the remaining provisions shall remain in full force and effect.

NO RIGHT OF SURVIVORSHIP AND NON-TRANSFERABILITY

You acknowledge and agree that your MedGra account is non-transferable. Rights to your user ID and content within your account will terminate upon your death. Upon verification (e.g., a death certificate), MedGra may permanently delete the account and its contents.

STATUTE OF LIMITATIONS

You agree that any claim or cause of action arising from or related to the use of our Services or these Terms must be filed within two (2) years after the claim arises. Otherwise, such claim shall be permanently barred.
